Eris Agent is operated by iKawn Inc., 8 The Green, Suite B, Dover, Kent, Delaware - 19901, United States. Contact contact@ikawn.com for legal, billing, or privacy questions. These Terms & conditions are also our Terms of Use. You must be at least 18 and legally able to contract. If you act for an organization, you confirm authority to bind it.
The service
Eris Agent provides a hosted workspace for monitoring public websites and related sources. By creating an account or using a paid plan, you agree to these terms. You must have authority to act for any business on whose behalf you use the service and be legally able to enter an agreement.
Your account
Provide accurate information and protect your credentials. You are responsible for activity under your account. Do not share staff-level access with people who are not authorized to use it. Contact support if you suspect someone else has access.
Acceptable use
Use the service lawfully and only for public sources you are entitled to access. Do not attempt to access private networks, bypass authentication or technical restrictions, harvest sensitive personal data, attack the service, or infringe others’ rights. We may restrict abusive activity or suspend an account where necessary to protect the service or comply with law.
Coverage and interpretation
Source availability varies. Reports are observations from sampled public material, not advice, verified business events, or a guarantee of complete coverage. A missing observation is not proof of deletion. You remain responsible for checking original sources and making decisions. We do not promise continuous availability, an exact collection time, or detection of every change.
Prices, renewal and cancellation
The price, currency, billing period, and applicable charges are shown before you pay through Stripe. Recurring plans renew according to the checkout terms until cancelled. Manage renewal through the billing portal or contact support if unavailable. Plan changes and cancellation dates are shown in the portal. Refund requests are handled under the Refund policy; mandatory consumer rights are not excluded.
Service ownership
We and our licensors retain rights in the Eris Agent software, design, name, and service. While you comply with these terms, you may use the service for your own lawful business purposes. Do not resell access, copy the service, or use its branding without permission, except where applicable law allows.
Your data and public sources
You retain your rights in information you submit. You permit us to process it to operate and support Eris Agent as explained in the Privacy policy. Public-source content belongs to its respective rights holders. A report does not grant you a licence to reuse third-party material beyond applicable law.
Ending use
You can stop monitoring, cancel renewal, export your watchlist and reports, and request account deletion through support. Cancelling billing does not itself delete the account. We may retain records needed for billing, disputes, security, or legal obligations as explained in the Privacy policy.
Availability and warranties
To the extent permitted by law, the service is provided as is and as available, without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operation, completeness of public-source data, or any particular business result. Third-party sources may change, block access, or disappear. No statement here excludes a warranty or remedy that cannot legally be excluded.
Limits of liability
To the extent permitted by law, iKawn Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, business opportunities, or goodwill arising from use of the service. Our aggregate liability for claims connected with the service is limited to the greater of USD 100 or the fees you paid us for Eris Agent in the 12 months before the event giving rise to the claim. These limits do not apply to fraud, deliberate misconduct, or any liability or statutory right that applicable law does not allow us to limit.
Business customer responsibility
If you use Eris Agent for a business, that business will indemnify iKawn Inc. against third-party claims, damages, and reasonable legal costs arising from its unlawful use of the service, infringement through material it supplies, or material breach of these terms. This does not cover claims caused by our own breach or misconduct. We will promptly notify you of a claim, cooperate reasonably, and will not agree to a settlement imposing obligations on you without your consent.
Suspension, changes and notices
We may suspend access for abuse, security threats, non-payment, or legal requirements, with notice and an opportunity to resolve the issue where reasonably practical. We may change or discontinue features; any prepaid-service remedy will be handled under applicable law and our Refund policy. Material changes to these terms apply prospectively after appropriate notice and any renewed agreement required by law. The date above identifies this published version. Existing accepted versions are retained in our records.
Governing law and disputes
Delaware law governs these terms, excluding conflict-of-laws rules. Subject to non-waivable consumer rights and jurisdiction rules, courts located in Delaware, United States will hear disputes. Nothing here deprives you of mandatory protections or the right to bring a claim in a court available to you under applicable consumer law. Contact contact@ikawn.com first so we can try to resolve a concern; this does not restrict statutory deadlines or remedies.
General provisions
These terms and the purchase terms shown at checkout form the agreement for the service. A separately signed enterprise agreement takes priority where it expressly conflicts. If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver.
